Terms of Service
Last updated
These terms cover your use of NoqtaShop as a merchant — the platform you use to build and run your store. They are between you and us. The policies your own shoppers agree to are separate, and you publish those on your storefront.
Who we are, and what these terms cover
NoqtaShop is operated by NoqtaX Solutions LLC, a Wyoming limited liability company, of 30 N Gould St #60420, Sheridan, WY 82801, United States. In these terms, “we”, “us” and “NoqtaShop” mean that company, and “you” means the person or business using the platform.
These terms apply when you create an account, open a store, or use any part of the platform — including during a free trial and on the free plan. If you use NoqtaShop on behalf of a company, you confirm you are authorised to accept these terms for it.
They do not cover the relationship between you and your shoppers. That is yours: you decide what you sell, at what price, on what delivery and refund terms, and you publish those policies on your own storefront.
Your account
You need an account to open a store. You are responsible for the accuracy of the details you give us, for keeping your password to yourself, and for everything done through your account.
You must be old enough to enter a contract where you live, and you must not use the platform if we have previously closed your account for a breach of these terms.
You can invite staff to your store and give them roles. Anything they do with the access you grant them is treated as done by you, so grant only what each person needs.
What we provide
NoqtaShop gives you a hosted storefront, a merchant console for running it, and the features included in your plan. We host the store, serve it over HTTPS, keep it updated, and back up the database.
Plans differ in what they include. The comparison table on our pricing page is the definitive statement of what each plan gets, and it is generated from the same configuration the platform enforces — so what it shows is what your account will actually do.
We add and improve features continuously. We may change or retire a feature; if we retire something you rely on, we will tell you in advance and, where we can, give you a way to export or replace it.
Some features are marked as not yet built. Anything shown that way is a statement of intent, not a commitment, and is not part of what you are paying for.
Plans, billing and trials
Paid plans are billed as a subscription. We do not take a commission, a share of your sales, or a per-order fee — what you sell through your store is yours, and our revenue is the subscription alone.
Plan prices are set in US dollars and shown in Jordanian dinar for convenience. The dinar figure is an indication; the amount charged is the dollar amount, and your bank may apply its own conversion or fees on top.
Free trials run for fourteen days on the plans that offer them. One free trial is available per person and per card, and a store that already pays for a plan does not get one. Starting a trial needs a card, though nothing is charged while it runs: cancel before it ends and you pay nothing, and your store moves to the free plan. If you do not cancel, the plan you chose begins and is billed from that day, and we email you before that happens. The free plan needs no card and no trial.
Subscriptions renew automatically for the same period until you cancel. You can cancel at any time under Subscription in the merchant console; you keep your plan until the end of the period you have paid for, and your store then moves to the free plan. We do not refund part-used periods unless the law where you are requires it.
You can move up to a higher plan at any time, unless a payment is outstanding or your subscription is set to cancel: the new plan starts at once, and we charge the difference for the rest of the current period straight away. If you change between monthly and yearly billing at the same time, we charge instead for the new period, less the unused part of your current one. If that charge does not go through, your plan does not change. A move to a lower plan, or from yearly to monthly billing, takes effect at the end of the period you have paid for, and you keep your current plan until then. When a change ends a yearly plan early, the unused time is credited to your account and used on your next invoices rather than refunded.
If a payment fails we retry it and tell you by email. Your store stays fully open for seven days from the first failed attempt; if the payment is still outstanding then, we cancel the subscription and your store moves to the free plan.
When your store moves to the free plan, what the free plan does not include is switched off — for example card payments, extra storefront languages, staff accounts beyond its limit and your own domain. Nothing is deleted, and moving up again switches it back on. Your storefront stays open on the free plan.
A plan arranged with our team runs to the paid-until date we agree with you. Unless it is extended before then, your store moves to the free plan on that date in the same way, and we tell you seven days before.
Taking payments from your shoppers
We are not a payment processor and we never hold your money. Card payments run through a payment account that you open and control with HyperPay, and the money goes from your shopper to your processor to you, without passing through us.
That means your agreement with that processor is yours, their fees are billed to you directly by them, and their rules about what may be sold apply to you independently of these terms.
Cash on delivery works without any processor, and is available on every plan.
You are responsible for charging the right tax, issuing whatever invoices or receipts the law requires of you, and meeting your own obligations to your shoppers.
Your store and your content
Everything you put into your store is yours — your products, images, copy, branding, customer records and orders. Nothing in these terms transfers ownership of any of it to us.
You give us permission to host, copy, transform and display that content strictly so we can run the platform for you: serving your storefront, generating image sizes, sending your transactional email, indexing your catalogue for search, and backing it up. That permission exists only for those purposes and ends when the content is deleted.
You confirm you have the right to use what you upload — including images and any brand names — and that it does not infringe anyone else’s rights.
Some features send your content to a third party in order to work: image enhancement, AI storefront generation, translation, and category icon generation. These run only when you ask them to, on the content you point them at. They are described in our Privacy Policy.
Acceptable use
You may not use NoqtaShop to sell anything illegal where you or your shoppers are, or to do any of the following:
- sell goods or services prohibited by your payment processor or by Jordanian law
- infringe someone else’s trademark, copyright or design
- mislead shoppers about what they are buying, who is selling it, or what it costs
- send unsolicited bulk email through the platform
- attempt to break, overload, scan or reverse-engineer the platform, or access another merchant’s data
- resell or white-label the platform itself as your own product
We do not review stores before they publish. If we are told about a breach, or find one, we may ask you to fix it, remove the content, or suspend the store.
Your shoppers’ data
When your shoppers buy from your store, you decide what is collected and why. In data-protection terms you are the controller of that data and we process it on your behalf, under your instructions, to run the platform.
We do not sell your shoppers’ data, do not use it to advertise to them, and do not use it to build any profile of them for our own purposes.
You are responsible for telling your shoppers what you collect and why. The platform can generate a privacy policy and the other policy pages for your storefront, but what they say is yours to check and yours to stand behind.
Availability and support
We work to keep the platform available and fast, but we do not promise it will never be interrupted. Maintenance, third-party failures and faults happen, and we will keep planned interruptions short and infrequent.
The free plan is provided as it is, without a support commitment. Paid plans include support through the channels described on the pricing page.
If a plan you are on states a specific availability commitment, that statement prevails over this section.
Suspension, closing your account, and getting your data out
You can close your store at any time from the merchant console.
We may suspend or close a store that breaches these terms or that is being used unlawfully. An unpaid subscription does not close a store: it moves to the free plan, as the billing section above describes. Except where a breach is serious or we are required to act immediately, we will tell you first and give you a chance to put it right.
When an account is closed we delete its data after a short grace period, apart from anything we must keep — records of transactions and communications kept for the period the law requires. Export what you need before you close a store.
Our intellectual property
The platform itself — the software, the merchant console, the themes we ship, the NoqtaShop name and logo — belongs to us. Your subscription is permission to use it while it is active, not a transfer of it.
You may not copy, sell or sublicense the platform, and you may not remove our attribution where a plan requires it to be shown.
If you send us feedback or a suggestion, we may act on it without owing you anything for it.
Once your storefront is published, we may show your store’s name, logo and a link to it on noqtashop.com as an example of a store built on NoqtaShop. If you would rather it was not shown, tell us and we will take it down.
Warranties and liability
We provide the platform with reasonable skill and care. Beyond that, and to the extent the law allows, it is provided as it is, without other warranties.
We are not liable for lost profit, lost sales, lost revenue or lost data, or for any indirect or consequential loss. Our total liability to you in any twelve-month period is limited to the amount you paid us in that period.
Nothing here limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.
Changes to these terms
We may update these terms as the platform changes. The date at the top of this page always tells you when they last changed.
If a change materially reduces what you get or increases what you owe, we will tell you before it takes effect and give you a chance to cancel. Carrying on using the platform after a change means you accept it.
Governing law, disputes and language
These terms, and any dispute arising from them or from your use of NoqtaShop, are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules. [[ CONFIRM WITH COUNSEL BEFORE LAUNCH ]]
If something goes wrong between us, write to legal@noqtashop.com first. Most problems are settled by talking, and we both agree to try that for thirty days before starting formal proceedings.
If it is not settled, it will be decided by binding arbitration before a single arbitrator, administered by the International Centre for Dispute Resolution under its International Arbitration Rules. The arbitration is conducted in English, and hearings are held by video unless we both agree otherwise, so neither of us has to travel. The award is final, and it can be enforced in the courts of any country that is a party to the New York Convention — which includes both the United States and Jordan.
Two routes stay open to either of us whatever this section says. A claim small enough for a small-claims court, or its local equivalent, may be brought there. And either of us may ask a court for urgent interim relief — for example to stop the misuse of intellectual property — while an arbitration is under way. We may also recover unpaid subscription fees in the courts where you are based.
Nothing in this section takes away a right that the law where you live gives you and does not allow a contract to remove.
These terms are written in English, and the English version governs. We publish an Arabic translation for your convenience; if the two ever differ, the English version applies.
